SERVICE AGREEMENT

This Service Agreement outlines the terms and conditions governing all business transactions and professional engagements between Defenders Enterprise (“the Company”) and the Client. By requesting, accepting, or initiating any service from Defenders Enterprise, the Client acknowledges and agrees to the terms described in this Agreement. Defenders Enterprise operates as a veteran-led platform, and all services are delivered with the discipline, integrity, and ethical standards upheld by retired members of the Armed Forces of Bangladesh.

1. Scope of Services

Defenders Enterprise provides a wide range of business services across key sectors essential for development, industry, and national progress. These include supply and procurement, construction and maintenance, IT and electronic solutions, smart security and protection services, logistics and transportation, catering and event management, agriculture and agro services, training and human development, and business development including international partnerships.

Each project is unique, and the full scope of work including deliverables, duration, technical parameters, and special conditions will be clearly outlined in a written proposal, work order, or contract provided to the Client prior to execution. Only documented and mutually agreed-upon scopes will be recognized as official commitments.

2. Responsibilities of Defenders Enterprise

Defenders Enterprise is committed to delivering all services according to the highest professional standards. We will provide services with honesty, clarity, transparency, and discipline at every stage of the engagement. Our team will ensure quality execution, follow defined timelines where feasible, and maintain strict confidentiality of all client information, documents, communications, and financial records.

The Company will assign competent personnel or specialized veteran-led teams to carry out project tasks. Clear and timely communication will be maintained throughout the project duration, and all documentation including reports, invoices, and project updates will be shared transparently.

3. Client Responsibilities

The Client agrees to cooperate fully for the successful execution of any project. This includes providing accurate project details, technical information, materials, and relevant documents without delay. The Client must ensure that payments are made according to the agreed schedule, and acknowledge that delays in payments may affect project timelines or temporarily halt work.

Clients must maintain respectful, lawful, and ethical communication with Defenders Enterprise personnel at all times. Any attempt to influence decisions through unethical practices such as bribery, favoritism, or undue pressure will lead to immediate termination of the engagement.

4. Pricing and Payments

All pricing details will be communicated through formal quotations, proposals, or contracts before project initiation. Depending on the nature of the service, advance payments may be required to mobilize resources, secure materials, or commence operations.

All payments must be made through approved banking or digital channels to ensure transparency and accurate financial recording. Defenders Enterprise does not support cash-heavy transactions unless absolutely necessary and mutually agreed.

Delayed payments may directly impact timelines, material procurement, or workforce allocation, and may result in revised delivery schedules.

5. Change Requests

Should the Client require any modification to the approved project scope such as design changes, additional materials, expanded work areas, or altered service requirements a formal written request must be submitted. Defenders Enterprise will review the request and inform the Client of any associated cost adjustments or extended timelines.

No change is considered valid or executable without written approval from both parties.

6. Confidentiality

Both Defenders Enterprise and the Client acknowledge the highly confidential nature of business documents, project information, and internal communications. All shared information—verbal, written, or digital—must remain private and may not be disclosed to external parties without written permission from the other party.

Any unauthorized disclosure, intentional leakage, or misuse of private information will result in immediate termination of the agreement, and may lead to legal consequences.

7. Termination

Either party may terminate this agreement under specific conditions. Termination may occur if the terms of the agreement are violated, payments are not made despite reminders, unethical behavior is detected, or if the project becomes restricted under national law or regulatory frameworks.

Before termination becomes final, all outstanding dues including payments for completed work, purchased materials, or incurred costs must be settled by the Client. Work will not resume after termination unless a new written agreement is executed.

8. Liability

Defenders Enterprise operates with disciplined project management and professional oversight; however, certain delays or disruptions may occur due to external factors. The Company is not liable for delays caused by government restrictions, supplier shortages, natural disasters, transportation issues, or client-side delays related to approvals, payments, or documentation.

In such cases, the Client will be informed in a timely manner, and revised timelines may be established.

9. Dispute Resolution

In the event of a disagreement or dispute arising from the execution or interpretation of this agreement, both parties agree to first attempt resolution through direct discussion and mutual understanding.
If the matter remains unresolved, it will be reviewed by the Executive Committee of Defenders Enterprise for internal evaluation. Should the dispute remain unsolved after internal review, either party may pursue resolution through the legal system of Bangladesh. Both parties agree to prioritize amicable settlement whenever possible.
